General Terms and Conditions of E-globalcom.net and Global Communication nv/sa, based on the general terms of the Belgian Chamber of Translators, Interpreters and Philologists (BKVTF), and updated on 1 August 2004, in accordance with the language services offered via the E-globalcom.net web portal: translation, localization, and interpreting; copywriting and rewriting; editing and proofing; and publishing and project management.

1. Applicability

The general Terms and Conditions of E-globalcom.net and Global Communication nv/sa take precedence over those of the client, and unless explicitly stipulated otherwise, the client waives his or her own general conditions.

2. Delivery Terms

The delivery period agreed in writing with the client commences from the receipt of the source text and the definitive order confirmation.

3. Liability

a. Liability of E-globalcom.net and Global Communication nv/sa

E-globalcom.net and Global Communication nv/sa are not liable for any delays in work to be executed due to illness, accidents, temporary inability to work, or force majeure in general. However, E-globalcom.net and Global Communication nv/sa must report such delays to their client within a reasonable time. E-globalcom.net and Global Communication nv/sa are not liable for delays caused by late delivery by third parties (courier companies, postal services, etc.) or damages to content and/or materials processed. E-globalcom.net and Global Communication nv/sa bear no liability for any faults in the content provided by the client. E-globalcom.net and Global Communication nv/sa accept responsibility for the quality of the work carried out insofar as it is used in its entirety and without change.

b. Liability of the Client

The client shall provide all information necessary for the proper delivery of the services requested prior to and during the execution of the assignment.

4. Complaints

All complaints are to be filed by way of registered mail within eight (8) days of the delivery date of the order. Failure to do so will result in the complaint being considered null and void. All invoices that have not been protested within eight (8) days are considered as having been accepted. The filing of a complaint does not modify the terms of payment. Complaints or disputes about non-conformity of the translation, copywriting, revision and/or design, which are formulated within the contractual period, must be thoroughly substantiated with references to dictionaries, glossaries, by competent native speakers, and with equivalent written text material. The unsubstantiated rejection of a translation, expression, revision and/or design does not justify non-payment of an invoice. If, after examination of the complaint by E-globalcom.net or Global Communication nv/sa, differences persist concerning the quality of the work, both E-globalcom.net and Global Communication nv as well as the client can submit them to the Arbitration Committee of the BKVTF. One of the two parties must be a member of the BKVTF. The Arbitration Committee only pronounces on the conformity with the source text.

5. Cancellation of Assignments

Unilateral cancellation of an assignment by the client will be subject to compensation by the client. This compensation will consist of payment for work already executed and preparatory work. Compensation due in this manner will be calculated on the basis of the fees currently applicable, which can be obtained from the registered office of the company. Beyond this, E-globalcom.net and Global Communication nv/sa may request compensation for breach of contract equal to 50% of the invoice amount.

6. Official Capacity of the Client

The client is considered to be acting in the capacity of author of the content provided and explicitly authorizes the translation thereof, in accordance with article 12 of the Belgian law of March 22, 1986, regarding copyright.

7. Copyright

E-globalcom.net and Global Communication nv/sa have copyright on the content delivered. Reproduction of the text in part or in full in any form whatsoever, including electronic, is prohibited without the explicit written permission of E-globalcom.net and Global Communication nv/sa.

8. Acceptance of the Order and Priority Treatment

The client will allow E-globalcom.net and Global Communication nv/sa to assess the difficulty level of the assignment.

Orders which are submitted via the web portal are started within eight business hours. For urgent orders, there are two possibilities of priority treatment:

•      Start within 4 business hours: on the basis of the volume and the difficulty level, it is absolutely necessary that we start your order within four hours so as to ensure timely delivery (extra charge +30%).

•      Start within one business hour: on the basis of the volume and the level of difficulty, it is absolutely necessary that we start your order within the business hour after receipt so as to ensure timely delivery (extra charge +100%).

E-globalcom.net itself makes the final decision about the priority treatment and the respective additional cost. In so doing, we base ourselves on the deadline requested by the client and the volume and the difficulty level of the source text. E-globalcom.net and Global Communication nv/sa reserve the right to refuse orders or to formulate comments in connection with agreed rates and/or delivery period.

The client is considered to be aware of and agree to the general Terms and Conditions of E-globalcom.net and Global Communication nv/sa such that there can be no discussion thereof later. The client may at all times obtain a copy of these Terms and Conditions.

9. Payment

E-globalcom.net and Global Communication nv/sa invoices are payable in cash, net of all costs, without discount. In practice, bank transfers within five (5) business days after receipt of the invoice are considered equivalent to payment in cash. In the event of complete or partial non-payment of the amount owed on the due date, the balance owed is ipso jure increased by lump-sum damages of 15% (with a minimum of € 50) and a late-payment interest of 12% is charged. The place of payment is the registered office of E-globalcom.net and Global Communication nv/sa.

10. Administration Costs

For orders which are not submitted via the E-globalcom.net web portal, a start guarantee before the end of the next working day applies and an administrative cost of € 10 is charged.

11. Jurisdiction and Applicable Law

In case of disputes between E-globalcom.net or Global Communication nv/sa on the one hand and their respective clients on the other, the courts of the location of the registered offices of E-globalcom.net and Global Communication nv/sa shall have jurisdiction. The present Terms and Conditions are governed by Belgian law only.

12. Arbitration

If E-globalcom.net or Global Communication nv/sa and the client fail to amicably resolve a complaint, one or both of the parties can submit the complaint to the Arbitration Committee of the BKVTF. One of the two parties must be a member of the BKVTF. The Arbitration Committee only pronounces on the conformity with the source text.

13. Professional Secrecy and Deontology

E-globalcom.net and Global Communication nv/sa are bound to professional secrecy. This implies that the identity of the client and the content of his or her jobs remain confidential. As a member of the Belgian Chamber of Translators, Interpreters and Philologists, E-globalcom.net and Global Communication nv/sa pledge themselves to consistently deliver good quality work.

The fee structure relates to the fees recommended by the Belgian Chamber of Translators, Interpreters and Philologists to its members. The fees listed in the Yearbook of the BKVTF/CBTIP are cited in this regard.

E-globalcom.net and Global Communication nv/sa shall furthermore have the right to increase these fees for urgent work, night or weekend work, or when the work requires special terminological research. E-globalcom.net developed for this the system of priority treatment (cf. article 8).
